Power Move Global Services, LLC
Website and Project Terms
These terms govern use of the PMGS website and establish general conditions for inquiries, proposals, and client projects.
Acceptance of these terms
By using this website, submitting a form, requesting services, approving a proposal, paying an invoice, or otherwise engaging Power Move Global Services, LLC, you agree to these terms and any project-specific written terms provided to you. If you do not agree, do not use the website or proceed with services.
Website information
Website content is provided for general business information. Service descriptions, examples, availability, starting prices, and estimated timelines may change and do not constitute a binding offer, final proposal, professional legal or financial advice, or guarantee of results.
Project approval and scope
A project begins only after PMGS accepts the engagement and the parties approve the applicable scope, deliverables, responsibilities, timeline, price, payment schedule, and third-party costs in writing. A quote request, consultation request, form submission, or discussion does not require PMGS to accept a project. PMGS may decline work at its discretion where permitted by law.
Changes and additional work
Requests outside the approved scope may require a written change order, updated timeline, and additional fees. PMGS is not required to begin out-of-scope work until the client approves the revised terms and any required payment. Minor revisions, revision limits, and approval deadlines may be defined in the applicable proposal or agreement.
Fees, payments, and taxes
Clients must pay all approved fees, deposits, invoices, applicable taxes, and authorized third-party expenses according to the stated schedule. Unless a written agreement states otherwise, deposits and payments for completed work, reserved production time, purchased licenses, or incurred third-party costs are nonrefundable to the extent permitted by law. Late or failed payments may delay or suspend work, delivery, launch, support, or access. Payment processing is provided by third parties such as Stripe and is also subject to their terms.
Billing questions and payment disputes
Clients should promptly contact PMGS in writing about a billing concern and provide a reasonable opportunity to review and address it before initiating a payment dispute or chargeback. A chargeback does not cancel an amount validly owed under an approved proposal, invoice, or agreement. PMGS may pause work, support, delivery, or access while a payment dispute is pending and may recover reasonable collection costs where permitted by law and the applicable written agreement.
Client responsibilities and approvals
Clients must provide accurate information, timely feedback, approvals, content, credentials, and access reasonably needed to perform the work. The client is responsible for reviewing deliverables before approval or launch, maintaining secure credentials, backing up client-controlled systems, and confirming that business claims, disclosures, products, services, and instructions are accurate and lawful. Written approval authorizes PMGS to proceed based on that approval.
Review, testing, and acceptance
PMGS may provide deliverables for client review and testing before completion or launch. Unless the applicable written agreement provides a different review period, the client must report material issues in writing within seven business days after delivery. Approval, publication, launch, use in business, or failure to report a material issue within that period constitutes acceptance of the delivered work, subject to any rights that cannot be waived by law. Later requests, preferences, or changes may be treated as additional work.
Delays and inactive projects
PMGS is not responsible for delays caused by late client materials, approvals, payments, access, third-party providers, technical incidents, or events outside PMGS's reasonable control. Timelines may be adjusted accordingly. If a client becomes unresponsive or a project remains inactive, PMGS may pause, reschedule, archive, or close the project and may require payment of outstanding amounts or a restart fee before work resumes.
Confidentiality
Each party should use reasonable care to protect nonpublic business, technical, account, and project information received from the other party and use it only for the engagement. This obligation does not apply to information that is public through no breach, independently developed, lawfully obtained from another source, approved for release, or required to be disclosed by law. PMGS may share necessary information with contractors and service providers who support the project and are subject to appropriate confidentiality obligations.
Client materials and permissions
The client represents that it owns or has permission to use all names, logos, trademarks, text, images, video, data, reviews, and other materials supplied to PMGS. The client grants PMGS a limited license to use those materials to perform the services. The client is responsible for claims arising from materials, instructions, or business practices supplied or approved by the client.
Intellectual property and portfolio use
Ownership, licensing, access, and transfer of final deliverables are governed by the applicable written project terms and may depend on full payment. PMGS retains ownership of its preexisting materials, processes, templates, know-how, tools, reusable components, and concepts not selected as final deliverables. Unless the parties agree otherwise in writing, PMGS may identify the client and display nonconfidential completed work for portfolio and promotional purposes after public launch.
Third-party services
Domains, hosting, email, payment processors, analytics, booking tools, social networks, search engines, plugins, fonts, stock media, artificial intelligence tools, and other third-party products are controlled by their providers. Their pricing, availability, policies, approvals, security, data practices, and performance may change without PMGS's control. The client is responsible for maintaining required third-party accounts, subscriptions, licenses, and compliance unless a written agreement states otherwise.
Domains, accounts, and credentials
Unless agreed otherwise in writing, clients should own and maintain their business domains, platform accounts, billing methods, and recovery information. PMGS may access client accounts only as authorized to perform the services. The client must promptly revoke or update access when appropriate and must not send full payment-card information by email or through general website forms. PMGS is not responsible for account loss, suspension, expiration, takeover, or unauthorized changes caused by the client, a third party, reused credentials, or a provider outside PMGS's reasonable control.
Security, backups, and data loss
PMGS uses reasonable safeguards appropriate to the services but cannot guarantee that any website, account, transmission, or storage system will be completely secure or continuously available. Unless a written maintenance or backup service is included, the client is responsible for ongoing backups, account recovery methods, software updates, access management, and business-continuity planning after delivery. PMGS is not responsible for data loss or security incidents caused by client actions, third-party services, unsupported software, compromised credentials, or changes made by others.
Accessibility and legal compliance
PMGS may apply generally accepted design and accessibility practices within the approved scope, but does not provide legal advice or guarantee compliance with every law, regulation, industry rule, privacy requirement, accessibility standard, advertising rule, or platform policy. The client is responsible for obtaining qualified legal or compliance advice for its business, content, products, services, forms, notices, consent practices, and industry-specific obligations. Compliance reviews, remediation, monitoring, and policy drafting are separate services unless expressly included in writing.
Artificial intelligence assisted work
PMGS may use artificial intelligence assisted tools for research, drafting, design exploration, coding support, quality checks, or production efficiency when appropriate. PMGS applies human review within the agreed scope, but third-party AI systems may produce errors, similarities, or limitations. The client remains responsible for final factual, legal, regulatory, and brand approval. PMGS does not guarantee that AI-assisted concepts or outputs are unique, registrable, or free from every third-party claim unless a specific written clearance service is included.
Post-launch maintenance and changes
Completion or launch does not include unlimited maintenance, revisions, monitoring, updates, repairs, security response, content changes, search optimization, or support unless those services are expressly included in writing. Changes made after delivery by the client, another vendor, a platform, an update, or a third-party integration may affect performance or appearance. PMGS may charge its then-current rate to investigate or correct matters outside the approved scope.
No guaranteed outcomes
PMGS provides professional digital services with a business purpose, but does not guarantee traffic, leads, sales, revenue, profit, customer reviews, search rankings, platform approval, uninterrupted operation, legal compliance, or any other business or financial result. Results depend on factors outside PMGS's control, including the client's offer, operations, market, audience, budget, competition, and third-party platforms.
Warranties and availability
To the fullest extent permitted by law, the website and services are provided on an as-available basis. Except for commitments expressly stated in a signed written agreement, PMGS disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. PMGS does not promise that the website or third-party services will always be available, secure, accurate, or error-free. Nothing in these terms excludes rights or warranties that cannot lawfully be excluded.
Limitation of liability
To the fullest extent permitted by law, PMGS will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from the website, services, deliverables, or third-party platforms. To the fullest extent permitted by law, PMGS's total liability for a claim will not exceed the amount the client paid PMGS for the specific service giving rise to that claim during the six months before the event. These limits do not apply where applicable law prohibits them.
Indemnification
To the fullest extent permitted by law, the client agrees to defend, indemnify, and hold harmless PMGS and its owner, contractors, and representatives from third-party claims, losses, liabilities, and reasonable costs arising from client-supplied materials, client instructions, the client's products or services, unlawful or misleading client content, misuse of deliverables, or the client's breach of these terms or applicable law.
Suspension and termination
Either party may end a project as allowed by the applicable written agreement. PMGS may suspend or terminate services for nonpayment, abusive or unlawful conduct, security risk, material breach, or failure to provide required cooperation. The client remains responsible for approved work completed, reserved time, noncancelable commitments, and costs incurred through the effective termination date. Provisions concerning payment, ownership, confidentiality, disclaimers, liability, indemnification, and disputes survive termination where applicable.
Events outside reasonable control
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, illness, labor disruption, utility or internet failure, cyberattack, government action, platform outage, provider failure, civil disturbance, or other emergency. Deadlines will be extended for a reasonable period, and either party may discuss a practical adjustment if the event materially prevents continued performance.
Independent contractor relationship
PMGS performs services as an independent contractor. Nothing in these terms creates an employment, partnership, joint venture, fiduciary, franchise, or agency relationship, and neither party may bind the other without express written authority.
Acceptable website use
You may not misuse this website, attempt unauthorized access, interfere with its operation, introduce malicious code, scrape or copy content in violation of law, impersonate another person, submit false information, or use the website to violate another person's rights. PMGS may restrict access or preserve and disclose information when reasonably necessary to protect the website, PMGS, users, or comply with law.
Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Before filing a legal claim, the parties agree to make a good-faith effort to resolve the dispute through written notice and direct discussion. Unless applicable law requires otherwise, any court proceeding must be brought in a court of competent jurisdiction located in Florida. Project-specific dispute terms, if any, will control for that project.
Electronic communications
You consent to receive project notices, proposals, invoices, approvals, and other communications electronically at the contact information you provide. Electronic approvals, signatures, and records may be used to document transactions to the extent permitted by law.
Entire agreement and order of control
These terms, the applicable approved proposal or statement of work, invoices, written change orders, and any signed service agreement form the agreement for the applicable services and replace prior discussions about that same scope. If documents conflict, a signed service agreement controls first, followed by an approved statement of work or proposal, a written change order, an invoice, and then these general terms. A modification must be confirmed in writing by authorized representatives of both parties.
Severability and waiver
If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.
Changes to these terms
PMGS may update these terms for future website use or future transactions. The revised version will be posted with a new effective date. Material changes will not retroactively replace project-specific terms already accepted unless the parties agree in writing or the change is required by law.
